Affiliate programme terms

1. Who runs the programme
The Themo affiliate programme (the "programme") is run by Themo WP ("we"), which publishes the themo-wp.com website. These affiliate terms apply to everyone who takes part in it ("you"). They add to our terms of sale, which govern your account and your own purchases, and to our privacy policy, which describes the data the programme uses.
You accept these terms when you apply; the date of the version you accepted is recorded with your application.
2. Who can join
- The programme is open to adults with a Themo account, on our approval. You apply from your account, giving the display name shown to the visitors you refer, your website if you have one, how you will promote our products, and your payout details.
- We review each application and may refuse one without giving a reason. If we refuse yours, you can apply again after 30 days.
- Once approved, you get your own code and find your link, your rate and your results in your affiliate dashboard.
- You take part as an independent partner: you are not our employee, agent or representative, and you may not make any commitment in our name.
3. How you are credited
- Your link is themo-wp.com/r/ followed by your code. It can lead to the home page, the pricing page, the plan comparison, a changelog or a checkout page.
- The visitor's consent first. A visitor who arrives through your link is asked whether they allow a referral cookie. You are credited only when the visitor accepts the referral cookie: it then lasts 60 days, and a purchase made within that time is credited to you. A visitor who declines or doesn't answer is never credited to you through the link.
- The last click wins. If the visitor later accepts a newer click on another affiliate's link, the newer click replaces the older one, and that affiliate is credited instead.
- Coupons. We may give you your own coupon. When a buyer uses a coupon, an affiliate's coupon wins over a link: a purchase made with your coupon is credited to you, even if the buyer arrived through another affiliate's link, and a purchase made with another affiliate's coupon is credited to them. A coupon that belongs to no affiliate leaves the link to decide.
- Only purchases placed while your affiliate account is approved are credited to you.
4. Your commission
- You earn 20% by default, or the rate shown in your dashboard if we agreed another one with you, of the amount paid, tax excluded, after any discount. A referred customer earns you a commission on their first purchase only.
- The amount paid is the order total in US dollars, as shown on the invoice, even when the customer paid in dirhams by transfer; the payment or bank fees we bear are not deducted from it.
- No commission is earned on renewals, upgrades, later orders, your own purchases, or refunded or disputed sales. A customer who was refunded and buys again earns you nothing, because that is no longer their first purchase. A sale whose dispute is settled in our favour keeps its commission.
- A change of rate applies only to commissions earned after it.
5. When and how you are paid
- Hold. Each commission stays pending during a 30-day hold after the payment, which covers the refund period. It is then approved, unless the sale was refunded or disputed in the meantime, or we are checking it (section 7).
- Payment. Approved commissions are paid monthly by PayPal, Wise or bank transfer, from $50, to the payout details in your dashboard; smaller balances roll over to the next month. We pay in US dollars.
- Fees. We send the amount due; receiving fees are yours, including any exchange fees charged by your bank or payment service.
- Clawbacks. If a sale is refunded or disputed after its commission was paid, that commission is reversed: clawbacks come out of later payouts.
- Keep your payout details up to date: a payment sent to the details you gave counts as paid.
6. What you see
- Your dashboard shows your clicks, credited sales, commissions and payouts: counts and amounts, never who bought. We never share a buyer's name, email address or order details with you.
- We process your own data (application, payout details, commissions and payouts) as described in our privacy policy.
7. What is not allowed
The following are forbidden:
- self-referral: buying through your own link or coupon, for yourself or your business, even from someone else's account;
- bidding on "Themo" in search ads, or on our other trademarks and close variants, and running ads that pass themselves off as ours;
- spam: unsolicited emails, messages, comments or posts;
- misleading claims about our products, prices, discounts or your relationship with us;
- forced cookies: setting the referral cookie without the visitor's consent, or tricking them into accepting it (hidden frames, automatic redirects, pop-unders);
- publishing your link or coupon on coupon sites or deal sites without our written agreement;
- any unlawful practice, and any use of our trademarks beyond simply naming our products.
We may check any sale credited to you. A commission we have doubts about, for example when the buyer's email address, payment method or IP address hash matches yours, stays pending until we approve or reverse it.
8. Suspension and termination
- You can leave the programme at any time by writing to us.
- We may suspend or end your participation if you break these terms, if we suspect fraud, or if we close the programme, and we tell you why. A suspension stops any new credit.
- When your participation ends, approved commissions are still owed and paid under section 5. However, fraud forfeits unpaid commissions: if we end your participation for fraud, nothing still unpaid is paid, and we may claim back commissions already paid on fraudulent sales.
9. Taxes
You are responsible for your own taxes on the commissions you receive, and for any declaration your country requires. We may ask for a W-9 or W-8BEN form, or equivalent information, before paying, and wait until we have it to pay.
10. Changes to these terms
We may change these terms or close the programme with 30 days' notice by email. If you don't accept a change, you can leave the programme before it applies; commissions already earned stay under the earlier terms.
11. Governing law and disputes
- As in section 18 of our terms of sale, these terms are governed by the law of the State of Wyoming (United States), where Themo WP is registered, without prejudice to the mandatory rules that protect consumers in their country of residence.
- If we disagree, write to us first: we look for an amicable solution for 30 days. Failing that, the dispute goes to the competent courts of the State of Wyoming, as set out in that same section 18.
- These terms are offered in French, Arabic and English. If the versions differ, the French version prevails.
